Terms of Service
Effective date: September 6, 2026
Scope. These Terms apply to users of the Service located outside the Republic of Korea ("global users"). If you are located in the Republic of Korea, our Korean-language Terms apply to you instead — under those Terms, age verification is performed through mobile-phone identity verification (휴대폰 본인인증) rather than through Didit.
These Terms are based on our Korean-language Terms of Service, drafted under South Korean law. Except for the region-specific age-verification method, where there is any inconsistency between this translation and the Korean version, the Korean version controls.
1. Purpose
These Terms of Service ("Terms") govern the rights, obligations, and responsibilities between Road Financial ("Company," "we") and users ("Members") in connection with the use of the RF AI Workspace service ("Service").

2. Definitions
- "Service" means all functionality provided by the Company, including AI chat, agent creation, project management, integrations via the Model Context Protocol (MCP), the developer API, and the Coding Agent CLI.
- "Coding Agent CLI" means the agentic coding tool that a Member installs and runs on their own local computer, which can directly access the Member's local repository to read and write files and execute commands. Details are governed by Section 11d.
- "Member" means a person who has agreed to these Terms and entered into a service agreement with the Company.
- "Content" means chat messages, prompts, files, agent configurations, artifacts, and any other information a Member inputs, generates, or uploads while using the Service.
- "AI-generated output" means text, images, code, and any other output produced by an AI model in response to a Member's input.
- "Paid Service" means the plans and features the Company offers for a fee, such as Lite, Pro, and Ultra.
3. Posting and amendment of these Terms
- The Company posts these Terms on the Service's landing or linked pages so that Members can review them.
- The Company may amend these Terms within the scope permitted by applicable Korean law (including the Act on Consumer Protection in Electronic Commerce, the Act on Regulation of Terms and Conditions, and the Personal Information Protection Act).
- When amending these Terms, the Company will state the effective date and reason for the change and announce it within the Service at least 7 days before the effective date (at least 30 days for changes that are unfavorable or material to Members).
- If a Member does not agree to the amended Terms, the Member may terminate the service agreement. Continued use of the Service after the amended Terms take effect constitutes acceptance of the changes.
4. Provision and modification of the Service
- The Company provides chat with AI models (routed through OpenRouter), web search and web page retrieval (Exa, Tavily, Brave Search, Jina AI), AI image generation, agent/project/prompt management, file storage, MCP server integrations, the developer API (Section 11c), and the Coding Agent CLI (Section 11d).
- The Company may set different usage limits per plan (Free, Lite, Pro, Ultra), and Members may use the Service within the limits of their subscribed plan. Usage of AI chat and image generation is metered in "credits", which are deducted based on the number of tokens actually used in the request and response and on the unit price of the AI model used. The same number of interactions may therefore consume different amounts depending on conversation length and the model selected. Numbers of projects and agents and storage capacity are set as counts and capacity per plan.
- The Company may change all or part of the Service for operational or technical reasons; it will give advance notice for changes that are unfavorable or material to Members, while minor changes (bug fixes, improvements) that do not materially affect Members' rights or obligations may be made without prior notice.
- Given the nature of an AI service, the Company may add, change, or discontinue the AI models and AI model providers (e.g., OpenAI, Anthropic, Google, xAI, DeepSeek, Meta) offered in the Service without prior notice. Continued availability of any particular model is not guaranteed.
- The terms of use, payment, cancellation, and refunds for Paid Services are governed by Section 11b and the Cancellation and Refund Policy. The Company may determine and announce within the Service when individual plans become available or are withdrawn. Joining a plan waitlist does not constitute a confirmed purchase or create a sales obligation for the Company.
4a. Beta features
- The Company may offer features that are pre-release or provided on a trial basis ("Beta features"). Beta features may not be fully validated for stability or accuracy.
- The Company may change, suspend, or discontinue Beta features without prior notice, and is not liable for resulting damage absent its willful misconduct or gross negligence.
5. Suspension of the Service
- The Company may temporarily suspend the Service for maintenance, replacement, or failure of computing/communication facilities, network outages, or a surge in usage, and will provide notice before or after such suspension as circumstances allow.
- The Service depends on third-party services including AI model providers (OpenAI, Anthropic, Google, etc.), the routing service OpenRouter, content moderation (OpenAI), search and web page retrieval (Exa, Tavily, Brave, Jina AI), image generation (fal.ai), authentication (Clerk), database (Convex), server infrastructure (NHN Cloud), payments (NHN KCP), and identity verification (Dream Security). Outages, policy changes, or usage restrictions of these third parties may interrupt or delay all or part of the Service, and the Company is not liable where it is not at fault.
6. Membership and accounts
- Members apply for membership by providing an email address and other required information according to the Company's procedures.
- Members must keep their registered information up to date and are responsible for any disadvantage arising from false information.
- Members may not let third parties use their account credentials and must notify the Company immediately upon becoming aware of unauthorized use.
- Children under 14 may not use the Service; this is governed by Section 6a.
6a. Age eligibility and measures for minors' accounts
- The Service may only be used by persons aged 14 or older. Members confirm and represent at sign-up that they are 14 or older.
- To prevent use by children under 14, the Company may analyze information generated while using the Service (such as chat content) by automated means to estimate a user's age band. The details of this processing are governed by Section 3b of our Privacy Policy.
- Before age verification begins, Members select their country of residence. This selection determines the verification method and is enforced on our servers: Members who select the Republic of Korea are verified through mobile-phone identity verification within Korea, and the Company does not transfer their ID or facial data to an overseas identity-verification provider. Details are governed by Section 3a of our Privacy Policy.
- Where the Company has reasonable grounds to suspect a Member is under 14, it may immediately freeze (suspend) the account and require age verification. If verification confirms the Member is 14 or older, the freeze is lifted without delay.
- If verification confirms the Member is under 14, the Company terminates the service agreement, permanently restricts use of the Service, and destroys that Member's personal information 30 days after such confirmation. Those 30 days exist so that an objection can be raised; if an objection is submitted and is under review, destruction is deferred until that review concludes. The Member or their legal guardian may also request immediate destruction (account deletion) without waiting. Details are governed by Section 3b of our Privacy Policy.
- If a Member uses the Service by misrepresenting their age, the Company may restrict use or terminate the service agreement without prior notice.
7. Withdrawal and loss of membership
- Members may request termination of the service agreement (withdrawal) at any time through the account management screen in the account menu, and the Company will process it promptly in accordance with applicable law. Destruction of personal information upon withdrawal — and its exceptions, such as anonymized retention of payment and transaction records required by law — is governed by Section 7 of our Privacy Policy. Refunds where a Member withdraws while using a Paid Service are governed by the Cancellation and Refund Policy.
- The Company may restrict or suspend a Member's account if the Member impersonates another person or registers false information, intentionally disrupts Service operations or attempts to circumvent usage limits, or engages in conduct prohibited by law or these Terms.
8. Protection of personal information
The Company protects Members' personal information in accordance with applicable law. Collection, use, retention, and destruction of personal information are governed by our Privacy Policy.
9. Obligations of the Company
The Company will not engage in conduct prohibited by law or these Terms or contrary to public morals, and will make reasonable efforts to provide the Service continuously and stably.
10. Obligations of Members and prohibited conduct
Members must not:
- Impersonate another person or register false information;
- Alter information posted by the Company without authorization or interfere with normal Service operation;
- Generate, post, or transmit content that violates applicable law or infringes others' rights (copyright, likeness, reputation, etc.), or attempt to generate illegal content such as child sexual abuse material;
- Engage in spam, phishing, or mass generation/distribution of misinformation, or otherwise harm others;
- Create or distribute malware, gain unauthorized access to systems, or exploit vulnerabilities in the Service;
- Make excessive requests via automated scripts/bots, abuse APIs, generate abnormal traffic, or otherwise consume Service resources excessively;
- Use prompt injection or attempt to bypass system prompts, safety measures, content moderation, or age verification, or otherwise defeat the Company's policies or technical controls;
- Circumvent usage limits (messages, images, storage, etc.) by unfair means, or crawl/scrape the Service without permission;
- Resell the Service for profit or reverse engineer it without the Company's prior written consent; or
- Share a single account among multiple people, or transfer or lend the account to others.
11. Content ownership and use
- Members retain ownership of the Content they submit to the Service (prompts, files, agent configurations, artifacts, etc.).
- Members grant the Company a license to process such Content as necessary to provide and operate the Service, including (i) transmitting it to the AI model provider and search provider the Member selects, (ii) operating and storing the Service, (iii) improving quality and diagnosing errors, and (iv) security and detection of illegal activity or policy violations (including content moderation). The Company does not use Members' Content to train its own AI models. However, Content entered may be processed according to the policies of the AI model provider the Member selects, and the Company does not control each AI model provider's personal-information-processing or data-use policies.
- For feedback (opinions, suggestions) a Member provides to the Company, the Company may use it freely and without compensation to improve the Service, and the Member so agrees.
- AI-generated output is governed by Section 11a.
11a. AI-generated output and disclaimer
- Because AI-generated output is produced by statistical models, it may be inaccurate or incomplete and may contain content that is factually wrong (hallucination) or biased.
- Members use AI-generated output at their own responsibility and judgment. In particular, for matters requiring professional judgment — legal, medical, tax, investment, etc. — Members must review the content and obtain confirmation from a qualified professional.
- The Company does not warrant the accuracy, completeness, legality, or fitness for a particular purpose of AI-generated output, and is not liable, to the extent permitted by law, for damages arising from decisions or professional judgments based on reliance on it.
- Ownership and permitted use of AI-generated output are governed by the applicable AI model provider's policies and applicable law; Members are responsible for confirming these before use.
11b. Paid Service and payment
- The Company offers Paid Services such as Lite, Pro, and Ultra. Fees are displayed in Korean Won (KRW, VAT included); availability, withdrawal, and price changes are announced through the in-Service pricing page and notices.
- Paid Services are provided in two forms.
- Recurring subscription: charged automatically every month to the payment method the Member registers. Unless the Member cancels, it renews automatically each billing cycle.
- One-time purchase: no auto-renewal; the plan applies for 30 days from the payment date.
- Payment and identity verification: payments are processed through the payment gateway NHN KCP Corp. When registering a payment method for recurring billing, an identity verification step may take place inside the KCP payment window, via the card issuer and identity-verification agencies. The Company neither receives nor stores card numbers, expiry dates, or identity verification data; it retains only the payment token (billing key) for recurring charges and card issuer information (issuer code and card name).
- Failed auto-renewal: where a renewal charge definitively fails (card declined, limit exceeded, expired card, etc.), the Company cancels the subscription without retrying and discards the registered payment method (billing key). Where the outcome cannot be confirmed (e.g., a communication error), the Company does not cancel and re-checks at the next opportunity. Even where cancelled, the remaining period already paid for is honored; when it ends, the account reverts to the Free plan. The Company displays the cancellation and its reason within the Service.
- Cancellation: Members may cancel a subscription at any time from the settings screen. After cancellation no further automatic charges are made, and the Member may continue to use the Paid Service for the remainder of the period already paid for.
- Withdrawal of subscription and refunds are governed by the Cancellation and Refund Policy, which forms part of these Terms. Where these Terms and that policy differ, the Cancellation and Refund Policy prevails. Withdrawal and refunds follow the Act on Consumer Protection in Electronic Commerce and other applicable law.
11c. Developer API
- The Company may provide a developer API and developer console so that Members can call the Service from their own applications. The scope of the developer API is determined by the Company and is currently available only to Members the Company has approved.
- An API key issued to a Member is displayed only once at creation and the Company does not retain the original. Members are responsible for managing their API keys, and bear responsibility for any use and resulting fees arising from a leaked key. Members must revoke a leaked key in the console immediately upon becoming aware of the leak.
- To keep the Service stable, the Company may impose per-key and per-account limits on requests per minute and on monthly usage (credits); requests exceeding those limits may be refused.
- Where the developer API supports function tool-calling, execution happens, in principle, in the Member's own application (the caller's environment) — the Company does not execute it on the Member's behalf. As an exception, the web search feature is executed directly by the Company's servers calling a search provider (Section 5), and is billed separately per query.
- Files uploaded through the developer API are subject to a per-file size limit and are access-scoped to the Member who owns the API key used to upload them.
- Section 10 (prohibited conduct) and Section 11a (AI-generated output) apply equally to use through the developer API. Members are responsible for informing their own end users of the limitations of AI-generated output.
- A Member who uses the developer API to process the personal data of its own end users or other third parties is additionally subject to our Data Processing Agreement (DPA). In particular, please review Section 6 of that DPA for notices about certain AI models' (e.g., DeepSeek) overseas processing and use of data for training.
11d. Coding Agent CLI
- Eligibility. The Coding Agent CLI is available to Members on the Pro plan or above. Login reuses the Member's existing account authentication via an OAuth flow (approved by matching a code shown in the browser); the API key issued through this flow can be viewed and revoked from the developer console.
- A locally-executed tool. The Coding Agent CLI is not a web service or a cloud sandbox — it runs on the Member's own local computer and can directly read, write, and delete files, and execute system commands, in the directory the Member designates (typically the folder from which the Member launched the CLI). Members are responsible for understanding the scope of this capability, running the CLI only in directories they trust, and using any auto-approval option for risky actions with care. Except where caused by the Company's willful misconduct or gross negligence, the Company is not liable for file corruption, data loss, or unintended command execution occurring in a Member's local environment.
- Data transmission. The conversation content of each turn the CLI processes, together with any portion of local files or command output that the CLI includes in the prompt, is transmitted through the developer API to the AI model providers in Section 5 in order to generate a response. Members should bear this in mind before letting the CLI process files or repositories containing personal data or trade secrets; where a third party's personal data is involved, our Data Processing Agreement (DPA) applies.
- Locally stored data. The Coding Agent CLI's conversation session history, per-project memory, MCP server configuration, and the API key issued at login are stored only on the Member's local device and are never stored on the Company's servers. Securing that data (e.g., local file permissions) is the Member's own responsibility.
- MCP server integrations. Members may register and connect third-party MCP servers they trust directly within the CLI. The Company does not pre-screen MCP servers a Member registers, and what data is sent to such a server depends entirely on that server's own behavior. Members must not register untrusted MCP servers.
- serve/connect and sub-agents (Swarm). The serve/connect feature operates over a local network port without authentication or encryption; the risk of using it on an untrusted network is borne by the Member. Sub-agents spawned via Swarm have the same file and command-execution privileges as the parent agent.
- Section 10 (prohibited conduct) and Section 11a (limitations and disclaimer for AI-generated output) apply equally to use through the Coding Agent CLI.
12. Termination and restriction of use
- The Company may terminate the service agreement or restrict use, with advance notice (or after-the-fact notice in urgent cases), if a Member violates these Terms or interferes with normal Service operations.
- The following measures are applied immediately by automated systems without prior notice, because prior notice would defeat the purpose of the measure — protecting children, blocking illegal content, and securing the Service.
- Account restriction: where content moderation determines that four warnings have accumulated for violations of Section 10.
- Account suspension: where a security threat such as abnormal access or a privilege-escalation attempt is detected (applied immediately, without prior administrator review).
- Account freeze: where a Member is suspected of being under 14 under Section 6a.
- Objections. A Member subject to an account restriction under paragraph 2 may explain their case through the in-Service objection feature; the Company reviews it and lifts the restriction if the measure is found to be unwarranted. For an account freeze under Section 6a, a Member may complete age verification or explain their case to the customer support contact in Section 1.
- ⚠️ However, the in-Service objection feature is not provided for an account suspension arising from security threat detection. In that case a Member may explain their case by email to the customer support contact in Section 1, and the Company lifts the suspension where it is confirmed to be a false positive.
- Each measure under paragraph 2 may constitute an automated decision that significantly affects a Member's use of the Service. Requests for an explanation, objection, or human review of such decisions are governed by Section 3b of our Privacy Policy.
- The Company extends the Paid Service period corresponding to any period of unwarranted restriction or suspension, or refunds the amount corresponding to that period. Details are governed by the Cancellation and Refund Policy.
13. Damages and disclaimers
- The Company is not liable for damages arising from force majeure, a Member's own fault, or service disruptions caused by third parties (AI model providers, routing services such as OpenRouter, search providers, authentication/infrastructure providers) where the Company is not at fault.
- The Service is provided "as is." Unless a separate service level agreement (SLA) is entered into, the Company does not warrant uninterrupted provision, any particular availability level, or error-free operation.
- The Company does not warrant the accuracy, completeness, or reliability of AI-generated output, and its liability for damages arising from reliance on such output is limited as provided in Section 11a and to the extent permitted by law.
13a. Service region and export controls
- The Company may restrict use of the Service for certain countries/regions or persons in accordance with applicable law or international sanctions (e.g., countries or persons subject to U.S. OFAC sanctions).
- Members must not use the Service in violation of export-control or sanctions laws; if they do, the Company may restrict use or terminate the service agreement without prior notice.
13b. Intellectual property and open source
- Intellectual property rights in the Service and its software, trademarks, and designs belong to the Company or the rightful owners. The Service may include third-party open-source software, which is subject to its respective license terms.
- A Member or third party who believes the Service or Content infringes their intellectual property rights may report it, with supporting explanation, to the support email in Section 1; the Company will review it and take necessary measures under applicable law.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Korea, and any dispute between the Company and a Member will be brought before the court having jurisdiction under the Civil Procedure Act of Korea.
Effective date
These Terms took effect on July 15, 2026. The amended version reflecting more detailed developer-API provisions, the new Coding Agent CLI section (11d), and references to the Data Processing Agreement (DPA) takes effect on September 6, 2026.
